1Platform Service Description

FactoryListing is a free-to-access B2B online directory platform. We provide search, category navigation, supplier listing display and industry-related article resources to connect global buyers with manufacturers and suppliers.

FactoryListing is NOT a manufacturer, trading agent, escrow service or contracting party for any commercial deal between buyers and suppliers. We do not produce goods, hold inventory, process payments, inspect merchandise, guarantee transaction performance or resolve trade disputes. All purchase-sale agreements are concluded directly between the relevant buyer and supplier. We assume no liability for any offline or direct transactions between platform users.

2User-Submitted Content

All content submitted or uploaded by users (including product photos, product descriptions, pricing, promotional materials, factory profiles, certificates and corporate data) originates entirely from the submitting user. The submitting user bears full responsibility and liability for the truthfulness, legality and accuracy of such content. FactoryListing disclaims all liability for user-posted materials.

Promotional watermarks, third-party contact marks or external branding on images published on this platform are strictly prohibited. If you identify infringing, unlawful or objectionable content on our platform, please send us a complaint message for review.

When you publish listings on FactoryListing, you grant us a non-exclusive, worldwide, royalty-free licence to display, reproduce and distribute your submitted content for the purpose of operating and promoting the platform.

3User Obligations & Prohibited Activities

When accessing and using this website, you shall comply with all applicable local, national and international laws and regulations. You are solely responsible for understanding legal obligations applicable to your business. Seek professional legal advice if you have uncertainties over legal compliance. Without limiting other clauses of this Agreement, you must NOT:

1. Violate official notices, operational guidance or usage instructions issued by FactoryListing;
2. Impersonate any natural person or legal entity, or make false or misleading statements regarding your identity or business affiliation with any third-party individual or organisation;
3. Upload, transmit or store files, scripts, macros or code that you know or reasonably suspect contain viruses, trojans, corrupted data or malicious software capable of disrupting website, server or system operation;
4. Perform any actions that impose unreasonable, excessive load or strain on our website infrastructure and network resources;
5. Gain or attempt to gain unauthorised access to password-protected, restricted or backend areas of our website and systems without prior written approval;
6. Scrape, harvest or compile platform data, contact information or listing content for unauthorised advertising, spam or other prohibited commercial purposes;
7. Decompile, disassemble, reverse-engineer or attempt to derive the source code, proprietary algorithms or underlying logic of this website or any part of our system;
8. Conduct load testing, stress testing, penetration testing, port scanning or vulnerability assessments against our website without written consent from FactoryListing;
9. Copy, reproduce, frame, mirror, hyperlink, republish, edit, adapt, rent, sell, sublicense or create derivative works based on platform-owned content without our explicit written permission;
10. Deploy bots, crawlers, scrapers, automated caching programs, meta-search agents or any automated scripts to retrieve or interact with our website and services;
11. Use this website or data obtained from the website for unlawful, tortious or illegal purposes;
12. Publish, upload or disseminate materials that infringe third-party intellectual property rights, publicity rights or privacy rights (including copyright, trademark, patent and trade-secret rights). You shall bear full liability for all losses, damages and legal costs arising from content you publish. We reserve rights to cooperate with claimants, administrative authorities and judicial bodies for evidence collection and information disclosure as required by applicable law;
13. Post or spread illegal, harassing, abusive, threatening, slanderous, defamatory, discriminatory, vulgar, obscene or otherwise offensive content.

4Intellectual Property Rights

Original website design, layout, logos, textual content, system architecture and proprietary articles published by FactoryListing are protected by copyright, trademark and other intellectual-property laws. Nothing within this Agreement grants you any licence to use our intellectual-property assets, except for your limited right to browse and access the website for permitted B2B sourcing purposes.

5Disclaimer of Warranties

The website and all platform functions are provided on an “AS-IS” and “AS-AVAILABLE” basis. FactoryListing makes no express or implied representations or warranties, including merchantability, fitness for business purpose, non-infringement, uninterrupted or error-free service. We do not warrant that the website will operate free from defects or security risks.

Listing publication on FactoryListing does not constitute our endorsement, verification or guarantee of a supplier’s credibility, product quality, production capacity or business legitimacy. Users shall independently perform due-diligence checks on counterparties before entering into any trade.

6Limitation of Liability

To the maximum extent permitted by applicable law, FactoryListing shall not be held liable for indirect, incidental, special, consequential or punitive damages, including loss of profits, loss of business opportunities, loss of data or business interruption arising from your use or inability to use this website. Our total aggregate liability for all claims connected with platform use shall not exceed any amounts you have actually paid to FactoryListing, if applicable.

7Amendments to this Agreement

We retain full discretion to revise, update or amend this Agreement at any time. When material changes are implemented, we will publish revised text on our Terms-and-Conditions page and update the effective date shown at the top of this document. We may deliver amendment notices to you on or before the effective date.

If you object to revised terms, your exclusive remedy is to cease all use of this website immediately. Your continued access and use of FactoryListing after the effective date of revisions constitutes your unconditional acceptance of the updated Agreement.

8Account Suspension & Termination

We may suspend, disable your user account and remove your published listings without prior notice, if we reasonably determine you have breached any clause under this Agreement. Termination of access shall not release you from liabilities incurred prior to suspension. Clauses which by their nature are meant to survive termination shall remain legally valid.

9Severability

Should any provision of this Agreement be deemed invalid, unlawful or unenforceable by competent judicial authority, the remaining provisions shall remain in full legal force and effect.
